PARADIGM MANUFACTURING

AS9100D Purchasing Standard Terms and Conditions for Vendors

General: As a Supplier/Vendor to Inc, it is understood that your organization agrees to meet the following stipulations AS9100D requirements whenever a Purchase Order is accepted, These requirements are, therefore, to be considered as terms and conditions to all purchases.

1. Our organization reserves the right of final approval of product, procedures, processes and equipment upon receipt.

2. All special processes required by this PO must be performed by qualified personnel.

3. Vendors providing special processing must maintain a system for validating processes.

4. The Vendor shall maintain the proper identification and revision status of specifications, drawings, process requirements, inspection/verification instructions and other relevant technical data.

5. Our organization reserves the right to approve or specify any designs, tests, inspection plans, verifications, use of statistical techniques for product acceptance, and any applicable critical items including key characteristics.

6. Provide test specimens for inspection/verification, investigation, or auditing

7. The Vendor is required to:

a. Notify our organization of nonconforming product.
b. Obtain our organization approval for nonconforming product disposition.
c. Notify our organization of changes in product and/or process, changes of suppliers, and changes of manufacturing facility locations.
d. Flow down to the supply chain the applicable requirements including customer requirements.

8. The Vendor is required to retain all Records associated with the Purchase Order as required by contract.

9. Right of access by our organization, our customer and regulatory authorities to the applicable areas of all facilities, at any level of the supply chain, involved in the order and to all applicable records.

10. Certification of Materials and/or Process performed must accompany materials/parts received. Invoice will be aged for payment based on date Certification(s) is received.

11. Counterfeit Product: All product provided to Buyer shall consist of new materials and authentic products only. Buyer must be contacted in the event that Vendor becomes aware of Counterfeit Product. Product will be considered Counterfeit if Purchase Order calls manufacturer name and required manufacturer is not supplied. In order to prevent and mitigate for Counterfeit product, all suppliers must have a Counterfeit protection plan in place.

12. Standards of Business Ethics and Conduct: This clause shall be flowed to subordinate suppliers at all tiers.

a. Buyer will conduct its business fairly, impartially, and in an ethical and proper manner.
b. Seller shall conduct its business fairly, impartially, and in an ethical and proper manner.
c. Supplier shall implement an awareness program to ensure employees understand their contribution to Product/Service conformity, product safety, and the importance of ethical behavior.

Standard Terms and Conditions for Customers

Offer and Acceptance. This document from Paradigm Manufacturing contains the entire terms and conditions associated with this transaction. Paradigm Manufacturing objects to any different or additional terms or conditions contained in any request for quotation, purchase order or other document of the Buyer, and no such different or additional terms shall be effective or binding upon Paradigm Manufacturing unless agreed to in writing and signed by an officer of Paradigm Manufacturing. If the Buyer issues a purchase order or other writing addressing the subject matter of this transaction, that writing shall be for the Buyer's internal purposes only and the terms and conditions contained therein shall have no force or effect, unless agreed to in writing and signed by an officer of Paradigm Manufacturing.

Quotations. Quotations are valid for 30 days unless stated otherwise and are subject to review upon receipt of finalized engineering data or any pertinent additional information. Any reduction in quantity will necessitate a revised quotation. All prices are in US dollars. All electronic data will be held on file after quotation has been distributed. This provides us the ability to waive set up fees in the future.

CAD Data. If applicable or unless the part is designed by Paradigm Manufacturing, Customer is responsible for providing STL or native CAD files and verifying correct and valid data before use in manufacturing. If multiple CAD and or Engineering information formats are provided to define engineering specifications, Paradigm Manufacturing may use any of the provided formats for manufacturing and cannot accept responsibility for identifying discrepancies between such formats.

Ordering. Delivery estimates are subject to confirmation at time of order. All electronic data will be held on file after receipt of order. Should customer request changes to mold or part once job has started additional cost and time may be incurred. Adjustments will be sent to customer in writing for approval prior to resuming.

Master Patterns refers to a disposable pattern that is typically destroyed during the creation of a ProCAST silicone mold. Patterns that do survive this process have a shelf life of only 6 months due to dimensional / environmental creep. FDM master patterns are also disposable pattern with a shelf life of 12 months.

3D Print setup charge will apply to each batch of parts that are not produced in succession. Thus election of a first article review will result in an additional setup charge. Parts are sampled to exceed ANSI/ASQ Z1.4-2003 standard at General Inspection Level II.

Quality Inspection. Parts are sampled to exceed ANSI / ASQ Z1.4-2003 standard at General Inspection Level II or better. Typical inspection of parts is performed on a sampling of parts produced: 100% inspection up to 5 parts, 5 pieces inspected up to 50 parts, 7 pieces up to 90 parts, 11 pieces up to 150 parts, and at least 5% for greater part quantities, unless otherwise specified.

Shipping. Client is responsible for all shipping and handling charges. Paradigm Manufacturing cannot be held liable for parts damaged in transit. A specific shipment method may be requested at time of order if an account number for billing is provided. Paradigm Manufacturing reserves the right to choose alternate shipping if deemed necessary.

Billing. All prices in U.S. dollars, buyer is responsible for paying duties, levies, and taxes which are extra. Payment terms are NET 15 upon approved credit, unless arranged otherwise. We reserve the right to withhold shipment of parts if an account is in arrears or a credit card has been unable to be processed. All jobs in excess of five thousand may require a deposit to begin work. No third party billing will be accommodated. Returned Product. If you receive parts that are inconsistent with expectations set forth at time of quote, we will gladly either rebuild your parts upon return of original parts or refund your order if we agree that workmanship does not meet our company standards. Any nonconforming product must be returned in 10 days from receipt for credit/refund. Please contact your project manager for an RMA (Return Merchandise Authorization) number. This process must be followed for us to be able to offer replacement or reworked parts.

Sales Tax. All duties, levies and taxes are extra. Sales or use taxes, excise taxes on transportation, property taxes, and other direct taxes are customer responsibility, whether such taxes are international, federal, state or local. Any forms deemed necessary to waive the collection of any sales tax must be provided to Paradigm Manufacturing upon request.

Warranties, Liability, Workmanship. Paradigm Manufacturing assumes no responsibility for the design of the goods that are the subject of this transaction. To the extent that Paradigm Manufacturing's personnel recommend design modifications or provide design analysis, simulation or advice, they do so to help meet the requirements of Paradigm Manufacturing's own manufacturing process. These recommendations should be reviewed and verified by customer prior to manufacturing. All recommendations do not have guaranteed results but are used as general practice. Customer retains sole legal responsibility for the design specifications and performance of the goods that are the subject of this transaction. Paradigm Manufacturing will, to the best of its ability, provide a part representative of the Buyer supplied 3D CAD geometry that conforms to Buyer requested dimensions and tolerances specified on Buyer supplied 2D drawings. This work is done on a "best effort" basis. Paradigm Manufacturing is not responsible for incorrect, inaccurate or unaccommodating specifications or desired secondary operations specified by Buyer either verbally or on Buyer supplied 2D drawings. Paradigm Manufacturing does not assume any liability for intent of use, regulation, license, or misuse of existing intellectual property including patent infringement, copyright or trademark infringement or other legal conditions that are the responsibility of the products originator or financially responsible party.

Materials. Paradigm Manufacturing assumes no responsibility or liability for the selection of any materials for the goods that are the subject of this transaction. Buyer is solely responsible for ensuring that materials selected for goods to be manufactured by Paradigm Manufacturing meet any regulatory requirements or specifications including but not limited to Directive 2002/95/EC on the restriction of the use of certain hazardous substances in electrical and electronic equipment (RoHS Directive) together with any national legislation implementing such Directive, ISO, FDA, UL, CSA, CE, TUV, FCC, NSF, and USP. Any statements made by Paradigm Manufacturing personnel or specifications provided by Paradigm Manufacturing regarding materials should be verified by Buyer with the manufacturer of that material.

Governing Law; Jurisdiction. The rights and obligations of Paradigm Manufacturing and the Buyer under this contract shall be governed by the laws of the State of Arizona (without regard to principles of conflict of law), including the Arizona Uniform Commercial Code. Any suit, action or other legal proceeding arising out of or relating to this transaction shall be brought in a court of record in Maricopa County, Arizona or in the courts of the United States located in such county.

Indemnification. Buyer shall defend, indemnify and hold harmless Paradigm Manufacturing (and its employees, representatives and agents) from and against all claims, liabilities, losses, damages, penalties, fines and sanctions of any kind (including, without limitation, interest, attorneys' fees and expenses, fines, taxes, penalties or any other governmental sanctions of any kind) (i) resulting from or arising out of any breach of any representation, warranty or covenant of Buyer or its affiliates hereunder; (ii) if Buyer has supplied Paradigm Manufacturing with drawings, designs or other specifications for the goods or services, arising out of any assertion that any goods manufactured by Paradigm Manufacturing (or the act of manufacturing such goods) according to those drawings, designs or other specifications infringe or misappropriate any patent, copyright, trade secret or other proprietary right; (iii) otherwise arising out of or related to this transaction; or it is specifically understood that Buyer shall indemnify and defend Paradigm Manufacturing and hold Paradigm Manufacturing harmless from claims that Paradigm Manufacturing was itself negligent or otherwise at fault.

Force Majeure. Paradigm Manufacturing shall not be liable for any failure to manufacture, deliver or provide, or for any delay in the manufacture, delivery or provision of, any goods to be provided hereunder if such failure or delay is caused by acts of God, fire, storm, earthquake, strikes, blackouts, labor disputes, riots, inability to obtain materials, equipment, labor or transportation, governmental restrictions, serious public health nuisance or any similar cause over which Paradigm Manufacturing is unable to exercise control.

PARADIGM MANUFACTURING accepts no liability whatsoever, and is working on a best effort basis, THERE ARE NO EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR ANY OTHER TYPE. This provision shall apply irrespective of whether or not a sample has been delivered to the Buyer. In no event shall the Seller be liable for consequential damages nor shall the Seller's liability on any claim for damage arising out of or connected with the manufacture, sale or use of any of its parts ever exceed the price paid therefore.
